01Acceptance

These Terms of Use govern access to the ziint.com website and use of the Ziint platform (including the web app at app.ziint.com and the mobile apps), provided by Ziint Consultoria e Desenvolvimento LTDA, a Brazilian company registered under CNPJ 49.724.906/0001-48 (“Ziint”, “we”).

By browsing the website, creating an account, signing in with a Google account or using the platform, you confirm that you have read and agree to these terms and to the Privacy Policy. If you use the platform on behalf of a company, you also confirm that you are authorized to accept these terms for it.

If you do not agree, do not use the services.

02What we offer

Ziint works on three fronts:

  • Technology and artificial intelligence consulting: process diagnosis, solution design and implementation support.
  • Automation and custom development: integrations, automated workflows and systems built for the client's operation, plus training.
  • Ziint platform: software as a service for field data collection (including offline), forms, workflows with deadlines, dashboards and indicators, AI agents, electronic signature of documents and white-label branding.

The features available to each client depend on the plan and modules contracted. We may evolve, replace or discontinue features to improve the service; changes that materially reduce what was contracted will be announced in advance.

03Contracts, plans and payment

Consulting and development projects and paid use of the platform are formalized by a commercial proposal, order or agreement, which defines scope, timelines, price, payment, service levels and, where applicable, the data processing agreement. In case of conflict, the specific agreement prevails over these terms.

Prices published on the website are references and may change. The price that applies is the one in the accepted proposal or the agreement in force.

04Accounts and responsibilities

  • The services are intended for people 18 or older and for professional use.
  • Provide accurate information and keep it up to date.
  • Credentials are personal and non-transferable. Keep your password safe, do not share access and notify Ziint immediately of any unauthorized use.
  • On the platform, accounts are usually created and managed by the client organization, whose administrator sets roles and permissions and may deactivate users.
  • You are responsible for activity carried out with your account, except where it results from a security failure attributable to Ziint.

Sign in with Google

You may sign in with your Google account. Google then confirms your identity and shares with us the basic profile data described in the Privacy Policy. Use of your Google account remains subject to Google's own terms.

05Acceptable use

When using the website and the platform, you agree not to:

  • violate laws, third-party rights or these terms;
  • upload unlawful, discriminatory or defamatory content, or content that infringes the privacy, image, intellectual property or trade secrets of others;
  • collect or process personal data on the platform without an appropriate legal basis, without informing data subjects where the law requires it, or in any way incompatible with Brazil's General Data Protection Law (LGPD);
  • attempt to access areas, accounts or data without authorization, test vulnerabilities without written permission, or bypass security or rate-limiting mechanisms;
  • send viruses, malicious code, spam or automated loads that harm the service;
  • reverse engineer, copy, resell, sublicense or commercially exploit the platform beyond what was contracted;
  • use the AI features to generate unlawful or misleading content, or for decisions that require human review without performing it.

We may remove content or limit access that breaches these rules, as described under Suspension and termination.

06Client content and data

Forms, responses, photos, documents, signatures and other information that the client organization and its users record on the platform (“Client Data”) belong to the client.

  • For Client Data, the client is the controller and Ziint acts as processor (LGPD, art. 5, VI and VII): we process that data only to provide the service, following the client's instructions and the agreement.
  • The client is responsible for the legal basis and for transparency towards the people whose data it records, including employees and third parties photographed or identified in inspections.
  • The client grants us a limited license to host, process, display and transmit Client Data only as needed to operate, secure and support the service.
  • When the agreement ends, the client may request an export of its data within the agreed period. After that, the data is deleted, except where the law requires retention.

07Artificial intelligence features

The platform offers AI agents and features that can summarize, classify, extract information or suggest actions based on the data you provide.

  • Results are generated automatically and may contain errors. Review them before relying on them for relevant decisions, especially decisions that affect people.
  • These features are triggered and configured by the client. Ziint does not use Client Data or data received from Google to train generalized AI models.
  • The AI providers that process this data are listed in the Privacy Policy.

08Electronic signature

When the client uses the signature module, the platform records evidence of authorship and integrity (such as signer identification, date and time, IP address and a document verification code). Under Brazilian law (art. 10, §2 of Provisional Measure 2,200-2/2001 and Law 14,063/2020), electronic signatures are valid proof of authorship and integrity between parties that accept them.

The client is responsible for assessing whether this type of signature suits each document, considering any legal requirements of form or of an ICP-Brasil digital certificate.

09Third-party integrations

The services may connect to third-party products such as Sign in with Google, email providers, maps, cloud storage and AI models. By enabling an integration, you authorize the exchange of the data it needs to work.

  • Use of third-party services is also governed by those providers' terms and policies.
  • Ziint's use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. Details in the Privacy Policy.
  • You can revoke an integration's access at any time, for example at myaccount.google.com/permissions.
  • We are not liable for unavailability, changes or failures of third-party services beyond our control.

10Intellectual property

The platform, the website, the Ziint brands, logos, code, templates, texts, images and documentation belong to Ziint or its licensors and are protected by Brazilian software, copyright and industrial property laws (Laws 9,609/1998, 9,610/1998 and 9,279/1996).

Use of the platform grants the client a limited, non-exclusive, non-transferable and revocable license for the contracted period and conditions. No ownership rights are transferred.

Custom deliverables follow the terms of the project agreement. Suggestions and feedback about the platform may be used by Ziint to improve it, with no obligation to compensate.

11Availability and support

We work to keep the services available and secure, but they may be affected by scheduled maintenance, updates or interruptions caused by third parties, connectivity failures or events beyond our control. Service levels (SLA) and support channels, when offered, are set out in the agreement.

Offline collection keeps data on the device until it syncs. Sync often: data that never reached our servers cannot be recovered by us.

12Limitation of liability

To the maximum extent permitted by law:

  • the services are provided as contracted; we do not guarantee that they will meet needs not set out in the agreement or work without any interruption or error;
  • Ziint is not liable for indirect damages, lost profits, loss of opportunity, or damages caused by misuse of an account, by decisions based on unreviewed results, by content entered by the client or by failures of third-party services;
  • where Ziint is liable to a business client, liability is limited to the amount actually paid by the client in the 12 months before the event, unless the agreement says otherwise.

Nothing in these terms excludes rights that cannot be limited by law, including those under the Brazilian Consumer Protection Code where applicable, or liability for willful misconduct.

13Suspension and termination

  • You may stop using the services at any time. Termination of paid plans follows the agreement.
  • We may suspend or terminate access, with notice whenever possible, in case of breach of these terms, security risk, an order from a competent authority or non-payment.
  • After termination, data is handled as described under Client content and data and in the Privacy Policy.

14Changes to these terms

We may update these terms to reflect changes in the services or the law. The date at the top shows the version in force. Material changes will be announced by email or in-platform notice at least 15 days in advance. Continuing to use the services after that means you accept the new version.

15Governing law and venue

These terms are governed by the laws of the Federative Republic of Brazil. The courts of Belo Horizonte, Minas Gerais have jurisdiction over any dispute, without prejudice to a consumer's right to sue in their own domicile.

If any clause is held invalid, the others remain in force. Tolerating a breach of any rule does not mean waiving it.
